These Terms of Service ("Terms") govern your use of the Zync platform and website at getzync.net ("Service"), operated by Zync ("we", "us", "our"). By using our Service, you agree to these Terms.

1. Acceptance of Terms

By creating an account or using Zync, you confirm that you are at least 16 years old and agree to be bound by these Terms and our Privacy Policy. If you use Zync on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Zync is a social media management platform that allows you to:

• Upload video content and publish it across multiple social media platforms simultaneously
• Generate AI-powered captions, titles, and hashtags
• Schedule content for future publication
• Manage connected social media accounts
• Access analytics and performance data

We may modify, suspend, or discontinue features of the Service at any time. We will provide reasonable notice for material changes that affect your use of the Service.

3. Account Registration

• You must provide accurate information when creating your account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access to your account
• One person or entity may not maintain more than one free account

4. Your Content

4.1 Ownership

You retain all ownership rights to the content you upload and publish through Zync. We do not claim any intellectual property rights over your content.

4.2 License to Us

By uploading content to Zync, you grant us a limited, non-exclusive license to process, store temporarily, and transmit your content solely for the purpose of providing the Service.

4.3 Content Responsibility

You are solely responsible for the content you publish through Zync. You agree not to upload or publish content that:

• Violates any applicable law or regulation
• Infringes on intellectual property rights of others
• Contains malware, viruses, or harmful code
• Is defamatory, harassing, or promotes violence
• Contains sexually explicit material involving minors
• Violates the terms of service of the connected social media platforms

5. Subscription Plans & Payments

5.1 Plans

Zync offers the following subscription tiers:

• Free — Limited features, 1 channel, up to 5 scheduled posts
• Essentials — Full features, unlimited posts, AI assistant, analytics
• Team — Everything in Essentials plus team collaboration and priority support

5.2 Billing

• Paid subscriptions are billed monthly via Stripe
• Prices are in USD and exclude applicable taxes (VAT/sales tax)
• Your subscription renews automatically unless cancelled
• We may change pricing with 30 days' advance notice

5.3 Founders Pricing

Early adopters who sign up during our founders period receive special pricing that is locked in for the lifetime of their continuous subscription. Cancelling and re-subscribing may result in standard pricing.

5.4 Cancellation & Refunds

• You may cancel your subscription at any time through the account settings
• Cancellation takes effect at the end of the current billing period
• You retain access to paid features until the end of your billing period
• We do not offer prorated refunds for partial months

6. Connected Platforms

When you connect social media platforms to Zync, you authorize us to access those platforms using your credentials (via OAuth) to publish content on your behalf. You acknowledge that:

• Each platform has its own terms of service that you must comply with
• We are not responsible for changes to platform APIs that may affect functionality
• Platform rate limits and restrictions may affect publishing
• You can disconnect any platform at any time from your settings

7. AI-Generated Content

Zync uses artificial intelligence to suggest captions, titles, hashtags, and other content. You acknowledge that:

• AI suggestions are generated automatically and may not always be accurate or appropriate
• You are responsible for reviewing and approving all AI-generated content before publishing
• We do not guarantee that AI content will perform well on any platform
• AI features may be modified or updated as technology evolves

8. Acceptable Use

You agree not to:

• Use Zync for any unlawful purpose or to violate any laws
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated tools to scrape or extract data from the Service
• Resell, sublicense, or redistribute the Service without permission
• Circumvent usage limits or restrictions of your subscription plan
• Use the Service to spam or send unsolicited content

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Emergency maintenance or security updates
• Third-party service outages (social media platforms, payment providers)
• Force majeure events

10. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for content published on third-party platforms through our Service
• We are not responsible for failed uploads or publishing errors caused by third-party platform issues

These limitations do not apply where prohibited by mandatory applicable law, including German consumer protection laws (BGB).

11. Intellectual Property

The Zync brand, logo, website design, and software are owned by us and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.

12. Account Termination

• You may delete your account at any time by contacting us at [email protected]
• We may suspend or terminate accounts that violate these Terms
• Upon termination, your data will be deleted in accordance with our Privacy Policy
• Provisions that by their nature should survive termination will survive (liability, IP, disputes)

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through a prominent notice on our website at least 30 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

14. Governing Law & Disputes

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers within the EU, mandatory consumer protection laws of your country of residence shall apply where they provide greater protection.

The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr. We are not obligated to participate in dispute resolution proceedings before a consumer arbitration board, but are willing to do so on a case-by-case basis.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
